Anguilla Foundation Establishment/Structure

Anguilla private foundations can be formed by one or more natural or legal persons, with an initial property endowment of US$10,000 (this does not have to be paid up).

Applicable laws of Anguilla Foundations

The offshore foundation is governed by the Anguilla Foundation Act 2008.

Requirements for the Establishment of an Anguilla Private Foundation

The "Declaration of Establishment" (referred to as the DOE in this document) is the official document required to formally register the Anguilla offshore Foundation and this document must contain the following information:

The name of the foundation;

The initial property endowment (with a certified confirmation from the registered agent);

The name and addresses of the founder or founders;

The full names and addresses of the foundation council members (may be nominee members);

The name and address of the registered agent (mandatory);

The name and address of the secretary if any is appointed;

The name and the address of the guardian if any is appointed;

The purpose of the private offshore foundation;

Provisions (if any) for the designation of beneficiaries;

And any other provisions which apply to management.

Purpose of Anguilla Foundations

An Anguilla offshore foundation may be established for any legitimate, ethical purpose. It may not conduct any activity on, in or within Anguilla and may not engage in any financial services business unless it has been granted a license to do so. The advantage of an offshore foundation is that, upon registration, it acquires the status of a legal personality. It is a separate and independent legal person in its own right and as such all Anguilla Foundations can conduct business of buying, selling, trading.

Language of Anguilla Foundation Establishment

The foundation declaration (DOE) can be written in any language, but if it is written in a language other than English it must be accompanied by a certified English translation.

Anguilla Foundation Bylaws

By-laws may be adopted by any Anguilla foundation and may include information that pertains to the endowment distributions, naming of beneficiaries, management guidelines, policies or procedures and any other lawful matter relating to the purpose and operations of the private foundation.

Anguilla Private Interest Foundation Name

Anguilla offshore foundations MUST end with the word Foundation or the approved Fnd ending. Foreign language words and their abbreviations for the word foundation are accepted. Names of Anguilla Foundations can be reserved for a period of up to 120 days.

Administrative Requirements of Anguilla Foundations.

Anguilla Foundations must at all times:

  • Have a registered (and regulated) agent in Anguilla;
  • Have a foundation Council
    • This may be one or more persons, individuals or corporate entities;
    • The duties of the foundation council will be set forth in either the declaration of foundation or in its by-laws;
    • Nominee foundation council members are permitted.

Meeting of Anguilla Private Foundation

The Anguilla foundation council may hold meetings as set out by the foundation's DOE or the by-laws. These meeting may be held anywhere and anytime in Anguilla or anywhere else in the world. Such meetings may be conducted via telephone or other electronic means.

Anguilla Foundation Secretary

Every Anguilla Foundation must have a resident secretary if none of the foundation council members is a regulated Anguillan resident. This secretary must be regulated and that post may be held by the registered agent of the foundation. The secretary cannot be the sole foundation council member.

Anguilla Foundations Registers

The foundation register should contain the ID particulars on the foundation council's members and its secretary. This register must be kept at the Foundation's registered address at all times. Registered address services are provided by us, a regulated registered agent.

Anguilla Foundation Accounts and Records

A foundation shall keep accounts and records that are deemed necessary by its foundation council in order to reflect the financial position of the Anguilla foundation as well as copies of its DOE, by-laws, amendments, resolutions and minutes of all.

These documents may be kept at the registered address of the foundation or can be held elsewhere provided the location is known by the registered agent.

Anguilla Private Interest Foundation Taxes

A foundation in Anguilla formed as an offshore foundation shall be exempt from ALL taxes on condition that: the founder, the beneficiaries, the property or assets, contributions to foundation originate outside of Anguilla.

The Anguilla Foundation is exempt from all taxes including: income tax, asset tax, gift tax, capital gains tax, distributions tax, inheritance tax, estate duty tax, as well as stamp duties.

Other Features of the Anguilla Offshore Foundation

Anguilla Foundations Appointment of a Guardian

The DOE may grant the appointment of a guardian of the foundation. One or more persons or a legal entity may be appointed the guardian of the foundation, and if so, act jointly in their capacity. The duties, rights and powers of the guardian are specified in the DOE or the by-laws. The guardian is appointed by the founder or any other person empowered to do so under the foundation's DOE.

The Anguilla Foundation act allows for amendments to be made to the declaration of establishment.

True Advantages of Anguilla Foundation.

When a person, individual or corporate contributes assets to a foundations endowment, that property ceases to be assets of such person. For this reason the assets are further protected from seizure or other litigation, since a foundation has NO beneficial owner.

A key feature of an Anguilla offshore foundation is the capacity for the foundation to settle disputes in arbitration rather than through the local court system.

Anguilla Foundations may be re-domiciled out of the country and the law permits the domiciliation of non Anguillan foundations into the state.

The package for foundation will include a Certificate of Registration, Certificate of Good Standing, the Declaration of Establishment and By laws if any. If nominee services are used, the necessary documents, Power of Attorney will be provided in the package.
